Item 7.01 Regulation FD Disclosure.
On July 30, 2026, Flowco Holdings Inc. (the “Company”) issued a press release stating the Company has declared a quarterly cash dividend for the Company’s shares of Class A common stock (“Class A Common Stock”). The dividend for each share of Class A Common Stock will be $0.09 per share payable to holders of Class A Common Stock of record as of the close of business on August 14, 2026 and will be paid on August 26, 2026. The Company’s operating subsidiary, Flowco MergeCo LLC, will also make a corresponding distribution of $0.09 per unit to holders of its common units. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.

Flowco Holdings Inc. Announces Quarterly Cash Dividend
HOUSTON--(BUSINESS WIRE)-- Flowco Holdings Inc. (NYSE: FLOC) (“Flowco” or the “Company”), a provider of production optimization, artificial lift and emissions management and monetization solutions for the oil and natural gas industry, today announced that its Board of Directors has approved a quarterly cash dividend of $0.09 per share of Class A common stock payable on August 26, 2026 to Class A common stockholders of record as of the close of business on August 14, 2026. Flowco MergeCo LLC, the Company’s operating subsidiary, will make a corresponding distribution of $0.09 per unit to holders of its common units.
While Flowco currently intends to continue paying regular quarterly cash dividends, the declaration, timing and amount of any future dividend are subject to the discretion and approval of the Company’s Board of Directors and will depend on a number of factors, including the Company’s results of operations, cash flows, financial position, capital requirements, restrictions under the Company’s existing credit agreement and the requirements of applicable law.
