(a) On March 27, 2023, Yolonda C. Richardson provided notice of her resignation to the Board of Directors of Moelis & Company (the “Company”) effective March 31, 2023. Ms. Richardson’s decision to resign from the Board was not due to any disagreement with the Company’s management or the Board.
Our Nominating and Corporate Governance Committee has commenced a process to identify a new Independent Director to be appointed to the Board.
