EXPLANATORY NOTE

This current report on Form 8-K/A amends the current report on Form 8-K dated June 16, 2023 filed by Marvell Technology, Inc. (the “Company”) with the Securities and Exchange Commission reporting the final voting results of the Company’s 2023 Annual Meeting of Stockholders.

Item 5.07	Submission of Matters to a Vote of Security Holders.

The Company will hold future say on pay votes on an annual basis, as was recommended by the Company’s Board of Directors in the Proxy Statement for the 2023 Annual Meeting and was subsequently approved by a majority of the Company’s stockholders (such vote results having previously been reported in the original Form 8-K), until the next required advisory vote regarding the frequency of say on pay votes.
