On August 26, 2026, the Board of Directors of the Company approved an increase of $50 million to its share repurchase program, adding to the $45 million authorization remaining available as of June 30, 2026. Under the share repurchase program, the Company may repurchase shares of its common stock from time to time through open market purchases, including through the use of trading plans intended to qualify under Rule 10b5-1 under the Securities Exchange Act of 1934, as amended, in privately negotiated transactions, or by other means, in accordance with applicable securities laws and other restrictions. The timing and total amount of repurchases will depend upon business, economic, and market conditions, corporate and regulatory requirements, prevailing stock prices, and other considerations. The share repurchase program has no expiration date, may be suspended or discontinued at any time without notice, and does not obligate the Company to acquire any specific dollar amount or numbers of shares.

N-able Announces $50 Million Increase to Share Repurchase Program
BURLINGTON, Mass. — (BUSINESS WIRE)—N-able, Inc. (NYSE:NABL), a global cybersecurity company delivering business resilience, today announced that its Board of Directors has approved an increase of $50 million to the previously authorized share repurchase program of up to an aggregate of $75 million of shares of its common stock announced in March 2025. N-able had $45 million remaining as of June 30, 2026 from the previous authorization.
“This increased authorization reflects our conviction that repurchasing shares at current levels represents an attractive use of capital and a compelling opportunity to create shareholder value over the long-term,” said N-able CFO Tim O’Brien. “As threats continue to evolve and our customers' security needs grow more complex, we believe N-able is well positioned to provide critical cybersecurity solutions to businesses everywhere. We remain confident in our ability to drive long-term growth and profit, while staying focused on disciplined capital allocation.”
Under the program, shares may be repurchased from time to time on the open market or privately negotiated transactions at the company’s discretion, subject to market conditions and other factors, and in accordance with applicable regulatory requirements. The company may commence, suspend or discontinue purchases of its common stock at any time or periodically without prior notice. The authorization has no expiration date.
