Item 8.01. Other Events.

As previously disclosed, on December 24, 2024, Noodles & Company (the "Company") received a letter from the Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that it was not in compliance with the requirement that the bid price for the Company’s common stock close above $1.00 per share pursuant to Nasdaq Listing Rule 5450(a)(1) (the “Minimum Bid Requirement”) because the price of the Company’s common stock had closed below $1.00 per share for 30 consecutive business days, and that the Company had 180 days to regain compliance with the Minimum Bid Requirement.

On February 5, 2025, the Staff notified the Company that, as of February 5, 2025, the Company had regained compliance with the Minimum Bid Requirement and that the matter is now closed.
