Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 30, 2023, Thomas Gwydir resigned from the Board of Directors of Nephros, Inc. (the “Company”), effective February 1, 2023. Mr. Gwydir’s decision to resign was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

On February 2, 2023, the Company’s Board of Directors appointed Alisa Lask to serve as a member of its Audit Committee, filling the vacancy created by Mr. Gwydir’s resignation.
