Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 26, 2025, Brad Searle notified management and the board of directors of PSQ Holdings, Inc. (the “Company”) of his intention to resign from his role as Chief Financial Officer, principal accounting officer, principal financial officer, and treasurer, effective upon the appointment of his successor. Upon the appointment of his successor, Mr. Searle will remain with the Company as Senior Vice President of Finance and Accounting of EveryLife.
Mr. Searle’s decision to resign as Chief Financial Officer is not the result of any disagreement with the Company or its board of directors, including any matters relating to the Company’s operations, polices, accounting practices or financial reporting.
The Company has launched an executive search for a new Chief Financial Officer.
