Item 5.02. Departure ofDirectors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On April 9, 2025, Chad Perry, Executive Vice President, General Counsel and Corporate Secretary of RLJ Lodging Trust (the “Company”), informed the Company of his decision to step down from all positions he holds with the Company, effective May 9, 2025, to pursue principal investing opportunities. Mr. Perry’s departure is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
