Shareholder Resolution of TSMC Arizona Corporation, a major subsidiary of TSMC regarding changes to Chairman and Director

TSMC Arizona Corporation adopted the following resolution by written consent on July 1, 2025, in lieu of a special meeting of the shareholders:

•Election of Director: Rick Cassidy stepped down as a Director and Chairman of TSMC Arizona Corporation, effective July 1, 2025. Rose Castanares was elected as a Director to fill the vacancy on the Board of Directors of TSMC Arizona Corporation, effective on the same date.
