Shareholder Resolution of TSMC North America, a major subsidiary of TSMC regarding elections of and changes to Directors
TSMC North America adopted the following resolution by written consent on January 23, 2026, in lieu of the annual meeting of shareholders:
•Election of Directors. David Keller has completed his tenure as a director of TSMC North America. Sylvia Fang and Sajiv Dalal were elected as directors of TSMC North America, effective on January 23, 2026.
