Key risk factors
-
History of operating losses
“Our business has a history of operating losses and we may never achieve or maintain profitability.”
-
Novel listing method may cause volatility
“Further, the listing of our Class A Shares on Nasdaq, without a firm-commitment underwritten offering, is a novel method for commencing public trading in our Class A Shares and, consequently, the trading volume and share price of our Class A Shares may be more volatile than if our Class A Shares were initially listed in connection with an initial public offering underwritten on a firm-commitment basis.”
-
No assurance Nasdaq listing will be approved
“There can be no assurance that we will satisfy those requirements, or that our Class A Shares will ever begin trading on Nasdaq. If our Nasdaq listing is not approved, this direct listing will not be completed.”
-
Limited public market history for Class A Shares
“No public market for our Class A Shares currently exists, and Class A Shares have a limited history of trading in private transactions.”
