On December 15, 2020, Ambow Education Holding Ltd. (the “Company”) held an Annual Meeting of Shareholders to vote on the following proposals which were approved by the majority of the shareholders:

·	to elect Yanhui Ma and Jin Huang to serve on the Board of Directors of the Company as Class III directors until the 2023 annual meeting of shareholders of the Company or until their respective successors are duly appointed and qualified; and
·	to ratify the appointment of Marcum Bernstein & Pinchuk LLP as the independent auditor of the Company for the fiscal year ending December 31, 2020 relating to financial statements prepared in accordance with generally accepted accounting principles in the United States.
