The Class B Ordinary Shares are automatically convertible into the Issuer's Class A Ordinary Shares at the time of the Issuer's initial business combination, or earlier at the option of the holder thereof, on a one-for-one basis, subject to adjustment pursuant to certain anti-dilution rights, and have no expiration date, as described under the heading "Description of Securities" in the Issuer's registration statement on Form S-1 (File No. 333-289485).

On April 17, 2026, Apex Treasury Sponsor LLC transferred 50,000 Class B Ordinary Shares of the Issuer to Paul Sykes for $0.003 per share, the same per-share price it paid for such shares.

On April 17, 2026, Apex Treasury Sponsor LLC (the "Sponsor") transferred 50,000 Class B Ordinary Shares of the Issuer to Paul Sykes for the same per-share price it paid for such shares, or $0.003 per share.

The Sponsor is the record holder of the securities reported herein. Hugh Cochrane and Ajmal Rahman are the managing members of the Sponsor. Each of Messrs. Cochrane and Rahman has voting and investment discretion with respect to the securities held of record by the Sponsor. As such, each of Messrs. Cochrane and Rahman may be deemed to have beneficial ownership of the securities held directly by the Sponsor. Each such person disclaims any beneficial ownership of the reported shares other than to the extent of any pecuniary interest they may have therein, directly or indirectly.

The Sponsor is the record holder of the securities reported herein. Hugh Cochrane and Ajmal Rahman are the managing members of the Sponsor. Each of Messrs. Cochrane and Rahman has voting and investment discretion with respect to the securities held of record by the Sponsor. As such, each of Messrs. Cochrane and Rahman may be deemed to have beneficial ownership of the securities held directly by the Sponsor. Each such person disclaims any beneficial ownership of the reported shares other than to the extent of any pecuniary interest they may have therein, directly or indirectly..

The Class B ordinary shares are convertible for the Issuer's Class A ordinary shares as described under the heading "Description of Securities" in the Issuer's Registration Statement on Form S-1 (File No. 333-289485) (the "Registration Statement") and have no expiration date.

On October 29, 2025, Apex Treasury Sponsor LLC forfeited at no cost 10,000 Class B Ordinary Shares of the Issuer in connection with the closing of the Issuer's initial public offering and the election by the underwriters of the Issuer's initial public offering of units to partially exercise an option granted to them to cover over-allotments.

Apex Treasury Sponsor LLC is the record holder of the securities reported herein. Hugh Cochrane and Ajmal Rahman are the managing members of Apex Treasury Sponsor LLC. Each of Messrs.
