Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 5, 2026, Dr. Erica Schwartz, a Class III director of Aveanna Healthcare Holdings Inc. (the "Company"), notified the Company of her decision to resign from the Company's Board of Directors, effective immediately, in connection with her nomination and subsequent confirmation as the Director of the United States Centers of Disease Control and Prevention. Dr. Schwartz‘s decision to resign was not due to any disagreement with the Company on any matter relating to its operations, policies, or practices. Prior to her resignation, Dr. Schwartz was an independent director, serving as the Chair of the Clinical Quality Committee.
