On June 26, 2023, Lawrence W. Leighton resigned as a member of our board of directors. On June 28, 2023, Jeffrey J. Guzy also resigned as a member of our board of directors. We are in the process of identifying and retaining new independent directors to serve on our board, and we intend to have a majority independent board reimplemented within the cure period provided by Nasdaq Rule 5605(b)(1)(A). In addition, we intend to reconstitute the independent audit committee and independent compensation committee of the board within the cure periods provided by Nasdaq Rules 5605(c)(4)(B) and 5605(d)(4), respectively.
