Public Offering Closes

Hold Me Ltd., a company incorporated in the State of Israel (the “Company”), completed its initial public offering. Pursuant to the Company’s registration statement on Form F-1, which was declared effective by the Securities and Exchange Commission on July 19, 2021 (registration number 333-255462), the Company offered up to 2,000,000 ordinary shares at $0.95 per share for 6 months.

As of October 21, 2021, the Company sold 282,124 ordinary shares, generating gross proceeds of $268,018 to the Company. The public offering has been terminated and no further shares will be offered or sold by the Company pursuant to said registration statement. As a result of the offering, the Company has 2,282,124 ordinary shares issued and outstanding.
