This Form 4 is being filed to reflect the assumption by Mr. Bronson of shared trading control over 13,115 shares held in the account of his parents.

Mr. Bronson disclaims beneficial ownership of the shares of common stock except to the extent of his pecuniary interest therein. In the case of the 206,000 shares held by his former spouse, Mr. Bronson has sole voting and dispositive power.
