Item 1.02

Termination of a Material Definitive Agreement.

As previously disclosed, on March 27, 2020, ENDRA Life Sciences Inc. (the “Company”) entered into an At The Market Offering Agreement (the “ATM Agreement”) with H.C. Wainwright & Co., LLC (“Wainwright”) with respect to an “at-the-market” equity offering under which the Company could offer and sell, from time to time at the Company’s discretion, shares of its common stock having an aggregate offering price of up to $7.2 million, through Wainwright as its sales agent.

On September 18, 2020, the Company delivered written notice to Wainwright to terminate the ATM Agreement, effective September 25, 2020.

The description of the ATM Agreement contained in this Current Report on Form 8-K does not purport to be complete and is qualified in its entirety by reference to the copy of the ATM Agreement filed as Exhibit 1.1 to the Company’s Current Report on Form 8-K filed on March 27, 2020.
