Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On November 27, 2020, the Board of Directors (the "Board") of PagerDuty, Inc. (the "Company") appointed Alec Gallimore to serve on the Board, until his successor is elected and qualified, or sooner in the event of his death, resignation or removal. Mr. Gallimore joins the class of directors whose term expires at the Company's 2021 annual stockholders’ meeting. He has been appointed to serve on the Company's Audit Committee effective December 1, 2020. The Board has determined that Mr. Gallimore meets the requirements for independence under the applicable listing standards of New York Stock Exchange and the Securities Exchange Act of 1934, as amended.

Mr. Gallimore will be entitled to receive compensation in accordance with the Company's Non-Employee Director Compensation Policy, a copy of which is attached as Exhibit 10.10 to the Company's Annual Report on Form 10-K, which was filed with the Securities and Exchange Commission on March 19, 2020. Mr. Gallimore will also enter into the Company's standard form of indemnification agreement.

There are no arrangements or understandings between Mr. Gallimore and any other persons pursuant to which he was elected as a member of the Board. There are no family relationships between Mr. Gallimore and any director, executive officer, or any person nominated or chosen by the Company to become a director or executive officer.
