Following the effectiveness of the registration statement on Form F-1 (Registration No. 333-286849) on May 12, 2025, filed by Polyrizon Ltd. (the “Company”), relating to the resale by selling shareholders identified therein of the Company’s ordinary shares, with no par value (the “Ordinary Shares”), including Ordinary Shares issuable upon exercise of warrants, such selling shareholders have been exercising their warrants.

As a result of such exercises, the number of issued and outstanding Ordinary Shares as of the end of business on May 14, 2025, was 349,692,746.
