Item1.01. Entry into a Material Definitive Agreement

On January 10^th^2023, the issuer’s Co-Founders Jaime Ortega (“ORTEGA”) and Matthew Feinstein (“FEINSTEIN”) executed a transaction whereas ORTEGA who is the current owner of 23,914,000 shares of the issuer’s stock (“PNPL”) of which 20,790,000 shares is being transferred to FEINSTEIN in exchange for $50,000.

On October 1, 2022, Board of Directors member, Katherine Hill, resigned from the company.
