Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)    On December 4, 2020, Quanta Services, Inc. (the “Company”) received notice that Jerry K. Lemon would be resigning from his role as Chief Accounting Officer and principal accounting officer of the Company to pursue another career opportunity. Mr. Lemon’s resignation is anticipated to be effective as of March 15, 2021, after completion of the Company’s financial reporting cycle for fiscal year 2020, and he will remain in his position and continue to serve as the Company’s principal accounting officer until such date. Mr. Lemon’s resignation was not associated with or attributable to any disagreement with the Company or the Company’s independent auditor, including without limitation, any matter relating to the Company’s accounting principles or practices, financial statement disclosures, internal controls, management or operations. The Company expects to conduct a search to identify a new Chief Accounting Officer.
