ITEM 8.01 OTHER EVENTS.

On January 29, 2026, Eric Langan notified RCI Hospitality Holdings, Inc. (“we,” “us” and the “Company”) that, effective immediately, he was stepping down from his position as Chairman of the Board. Concurrently, the Company’s board of directors appointed Travis Reese as Chairman of the Board. Mr. Langan will continue to serve on the board. This change is in furtherance of the prior leadership transition that occurred at the end of November 2025.
