ITEM 8.01 OTHER EVENTS

As previously disclosed, on January 30, 2026, and February 18, 2026, the Listing Qualifications Department of The Nasdaq Stock Market (“Nasdaq”) notified us that we no longer met the periodic filing requirement for Nasdaq under Listing Rule 5250(c)(1) (the “Rule”). On May 8, 2026, Nasdaq notified us that, based on the filing of our quarterly report on Form 10-Q for the fiscal quarter ended December 31, 2025, on May 7, 2026, it has determined that we have regained compliance with the Rule and that this matter is now closed with Nasdaq.
