Item 7.01    Regulation FD Disclosure.

On May 10, 2024, Frontier Airlines, Inc. (“Frontier”), a wholly owned subsidiary of Frontier Group Holdings, Inc. (the “Company”), entered into amendments to certain lease agreements with one of its aircraft lessors (the “Lease Amendments”). The Lease Amendments modified certain return condition obligations for nine aircraft and provided that the lessor shall disburse to Frontier previously paid aircraft maintenance deposits of approximately $104 million, which were allocated across the nine aircraft and were previously recorded as aircraft maintenance deposits within the Company's consolidated balance sheets. As a result of the Lease Amendments, Frontier has no remaining obligations to pay monthly maintenance reserves on its aircraft leases.
