Item 5.02. Departure of Directors or Certain Officers; Electionof Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 17, 2020, Mr. Robin K. Chopra, Executive Vice President, Controller and Chief Accounting Officer of Fluor Corporation (the “Corporation”), requested that the Corporation grant him a leave of absence for health reasons. Effective June 22, 2020, Mr. D. Michael Steuert, Executive Vice President and Chief Financial Officer of the Corporation, will now also assume the role of interim principal accounting officer.
