Options shall vest, unless earlier terminated under the Company's 2019 Equity Incentive Plan, over three (3) years as follows: one-third of the Option shall vest on each of the three (3) anniversaries of February 10, 2026 (the "Vesting Commencement Date"), such that on the third anniversary of the Vesting Commencement Date the Option shall be fully vested provided that Mr. Hitchcock must be an employee in good standing with the Company on such anniversary in order to vest in the applicable portion of the Option.

The warrant becomes exercisable six months after issuance (subject to stockholder approval under Nasdaq listing Rule 5635(c)) and expires on April 23, 2036.

Securities are held by Plus 34 Holdings Inc. William Levy is the sole director of Plus 34 Holdings Inc. and may be deemed to have beneficial ownership of the securities held by Plus 34 Holdings Inc. Mr. Levy disclaims beneficial ownership of such securities except to the extent of his pecuniary interest therein.
