Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 9, 2024, Dr. Freeman A. Hrabowski, III, informed the Nominating and Corporate Governance Committee of the Board of Directors (the “Board”) of McCormick & Company, Incorporated (the “Registrant”) that he intends to retire from the Board of the Registrant and will not stand for election at the Registrant’s next annual stockholders’ meeting, which is currently scheduled for March 27, 2024. Dr. Hrabowski will continue to serve on the Board until such stockholders’ meeting.
