Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 25, 2020, the Board of Directors of PBF Energy Inc. (the “Company”), effective as of October 1, 2020, approved (i) a continued temporary reduction of one-third in the base salary of the Company’s Chief Executive Officer and the cash retainer paid to the Company’s non-management directors and (ii) the restoration of the full salaries of the Company’s other executive officers whose salaries were temporarily reduced effective April 1, 2020.
