On May 30, 2024 the Reporting Person filed a Form 4 reporting a purchase on May 28, 2024 of 500 shares of Common Stock that, in fact, did not occur. As of May 28, 2024, the Reporting Person owned only 3,100 shares of Common Stock.

On 1/7/22 a trust over which the Reporting Person is a co-trustee and the holdings of which have been included in the Reporting Person's reported ownership, distributed to the trust's beneficiaries all of the shares of the Issuer's Common Stock held by the trust, including 15,120 shares to the Reporting Person.

Includes (i) 1,636 shares held individually by the Reporting Person, (ii) 36,124 shares held jointly with the Reporting Person's wife, and (iii) 723 shares held individually by the Reporting Person's wife. The Reporting Person disclaims beneficial ownership of the shares held individually by his wife. All totals include shares issued periodically pursuant to the Issuer's Dividend Reinvestment Plan and shares issued by the Issuer as a stock dividend.
