“The Annual Report and the registrant's audited financial statements for the year ended December 31, 2025 contained an explanatory paragraph from the registrant's independent registered public accounting firm expressing substantial doubt about its ability to continue as a going concern. As disclosed in the Registration Statement, Old Z Squared's historical financial statements have similarly reflected substantial doubt about Old Z Squared's ability to continue as a going concern. Neither the Merger nor the Spin-Out, individually, has eliminated those concerns.”
