    On April 8, 2026, Expedia Group, Inc. (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with BofA Securities, Inc. and Citigroup Global Markets Inc., as representatives of the several underwriters listed in Schedule 1 thereto (the “Underwriters”), pursuant to which the Underwriters agreed to purchase from the Company $1,000,000,000 aggregate principal amount of 5.500% Senior Notes due 2036 (the “Notes”).
    Issuer evidence: On April 8, 2026, Expedia Group, Inc. (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with BofA Securities, Inc. and Citigroup Global Markets Inc., as representatives of the several underwriters listed in Schedule 1 thereto (the “Underwriters”), pursuant to which the Underwriters agreed to purchase from the Company $1,000,000,000 aggregate principal amount of 5.500% Senior Notes due 2036 (the “Notes”).
    Supporting evidence: The Notes were issued under an indenture dated as of February 21, 2025 (the “Base Indenture”), as supplemented by the Third Supplemental Indenture dated as of April 10, 2026 (the “Third Supplemental Indenture”, and the Base Indenture as supplemented by the Third Supplemental Indenture, the “Indenture”), among the Company and U.S. Bank Trust Company, National Association, as trustee.
