In connection with the reorganization of Neuberger Berman California Municipal Fund Inc. ("NBW") and Neuberger Berman New York Municipal Fund Inc. ("NBO") into the Issuer, 457 shares of variable rate municipal term preferred shares ("VMTP Shares") of NBW and 365 VMTP Shares of NBO beneficially owned by Banc of America Preferred Funding Corporation ("PFC") were exchanged for an equal number of VMTP Shares of the Issuer in a cashless transaction. Prior to this filing, PFC held 1,457 VMTP Shares issued by the Issuer. PFC is a wholly owned subsidiary of Bank of America Corporation.

PFC is a wholly owned subsidiary of Bank of America Corporation.
