The purchase price for the Shares was calculated based on the average of the opening and closing prices reported for such shares by the New York Stock Exchange on October 30, 2020, after applying a blockage discount because of the large size of the aggregate holdings of the Reporting Person and affiliated trusts.

On October 30, 2020, the Reporting Person sold shares (the "Shares") of Issuer to an affiliated trust, Stewart West Indies Trust ("SWIT"). Horejsi is neither a trustee nor beneficiary under the Trust, because of his advisory role with the Trust, he may be deemed to have indirect beneficial ownership of the shares directly beneficially owned by the Trust. However, Mr. Horejsi disclaims such beneficial ownership of the shares directly beneficially held by the Trust.

Horejsi Trust ("JSHT"); 175,122 Shares to the John X. Ciciora Trust ("JXCT"); 223,419 Shares to the Jack S. Ciciora Trust ("JSCT"); 223,419 Shares to the Amanda N. Ciciora Trust ("ANCT"); and 223,419 Shares to the Courtney M. Ciciora Trust ("CMCT") (together, the "Recipient Trusts").

The Reporting Person distributed the Shares to the Recipient Trusts in accordance with its governing trust instrument and at the request of its current beneficiaires, Stewart R. Horejsi, Susan L. Ciciora, John S. Horejsi, John X. Ciciora, Jack S. Ciciora, Amanda N. Ciciora and Courtney M. Ciciora (the "Beneficiaries"). Under the terms of the Trust, each Beneficiary is a discretionary beneficiary. The Beneficiaries requested that the trustee of the Trust, Peak Trust Company-AK, distribute the Shares in the amounts described herein, and each Beneficiary directed said trustee to transfer the Shares to the Recipient Trust on the Beneficiares' behalf and for their benefit.

As noted, the trustee of the Trust is Peak Trust Company-AK, which may be deemed to control the Trust. As a result of his being a discretionary beneficiary of the Trust and his advisory role with the Trust, Stewart R. Horejsi may be deemed to have indirect beneficial ownership of the Shares directly beneficially owned by the Trust. However, Mr. Horejsi disclaims such beneficial ownership of the shares directly beneficially held by the Trust.

(the "Company") to the following affiliated trusts: 791,887 Shares to the John X. Ciciora Trust; 926,677 Shares to the Jack S. Ciciora Trust; 926,677 to the Amanda N. Ciciora Trust; and 926,677 Shares to the Courtney M. Ciciora Trust (together, the "Recipient Trusts"). The Reporting Person distributed the Shares pursuant to a general power of appointment granted to John X. Ciciora, Jack S. Ciciora, Amanda N. Ciciora and Courtney M. Ciciora (each, a "Beneficiary") in its governing trust instrument. Under the terms of the 2019 Trust, each Beneficiary has the right to appoint their respectively allocated Shares in their discretion and each Beneficiary has directed the 2019 Trust's trustee to transfer their allocated Shares to the Recipient Trust associated with their name as set forth above.

The trustee of the 2019 Trust is Peak Trust Company-AK, which may be deemed to control the 2019 Trust. On February 20, 2020, the Reporting Person (also referred to as the "2019 Trust") distributed the following shares (the "Shares") of Boulder Growth & Income Fund, Inc. (the "Company") to the following affiliated trusts: 657,097 Shares to the Stewart West Indies Trust: 791,887 Shares to the Susan L. Ciciora Trust; and 657,098 Shares to the John S. Horejsi Trust (together, the "Recipient Trusts"). The Reporting Person distributeed the Shares pursuant to a general power of appointment granted to Stewart R. Horejsi, Susan L. Ciciora and John S. Horejsi (the "Beneficiaries") in the governing trust instrument. Under the terms of the 2019 Trust, each Beneficiary has the right to appoint their respectively allocated Shares in their discretion and each Beneficiary has directed the 2019 Trust's trustee to transfer their allocated Shares to the Recipient Trust associated with their name as set forth above.

The trustee of the 2019 Trust is Peak Trust Company-AK, which may be deemed to control the 2019 Trust. As a result of being a beneficiary under the 2019 Trust and his advisory role with the 2019 Trust, Stewart R. Horejsi may be deemed to have indirect beneficial ownership of the Shares directly beneficially owned by the 2019 Trust. On February 20,2020, the Reporting Person (also referred to as the "SLCT") received a distribution of 791,887 shares (the "Shares") of Boulder Growth & Income Fund, Inc. (the "Company") from an affiliated trust, the LBT 2019 Trust (the "2019 Trust"). The Reporting Person received the Shares pursuant to a general power of appointment granted under the 2019 Trust to Susan L. Ciciora, the SLCT's grantor. The 2019 Trust allows Ms. Ciciora to appoint Shares allocated to her under such trust in her discretion and she elected to appoint such Shares to the SLCT.

The trustee of the SLCT is Peak Trust Company-AK, which may be deemed to control the SLCT. As a result of his advisory role with the SLCT, Stewart R. Horejsi may be deemed to have indirect beneficial ownership of the Shares directly beneficially owned by the SLCT. However, Mr. Horejsi disclaims such beneficial ownership of the Shares directly beneficially held by the SLCT.

(the "Company") from an affiliated trust, the LBT 2019 Trust (the "2019 Trust"). The Reporting Person recieved the Shares pursuant to a general power of appointment granted under the 2019 Trust to Stewart R. Horejsi, the SWIT's grantor. The 2019 Trust allows Mr. Horejsi to appoint Shares allocated to him under such trust in his discretion and he elected to appoint such Shares to the SWIT.

Horejsi Trust No. 2, Susan L. Ciciora Trust, John S. Horejsi Trust and Susan L. Ciciora own an aggregate of 45,384,254 shares of the Company.

This Form 4 is amended to reflect the corrected Name of Reporting Person. On February 24, 2020 a Form 4 was errantly filed under the CIK for Stewart West Indies Trading Co. Ltd instead of Stewart West Indies Trust. The correct filing entity is Stewart West Indies Trust. All other information remains the same.

On January 16, 2020, the Reporting Person (also referred to herein as the Trust) transferred 5,678,000 shares (the Shares) of Boulder Growth & Income Fund, Inc. (the Company) to an affiliated trust, the LBT 2019 Trust (2019 Trust). The Reporing Person distributed the Shares to the 2019 Trust in accordance with its governing trust instrument onbehalf of its beneficiaries, Stewart R. Horejsi, Susan L. Ciciora, John S. Horejsi, John S. Ciciora, Jack S. Ciciora, Amanda N. Ciciora, Courtney M. Ciciora, (the Beneficiaries). Under the terms of the 2019 Trust, each Beneficiary has the right to appoint their respectively allocated Shares in their discretion. It is anticipated, however, that the Beneficiares will appoint their allocated Shares to existing or new trusts with respect to which each is or will be the grantor.

The trustee of the Trust and the 2019 Trust is Peak Trust Company-AK, which may be deemed to control the Trust and 2019 Trust. As a result of his being a discretionary beneficiary of the Trust and a beneficiary of the 2019 Trust and his advisory role with the Trust and the 2019 Trust, Stewart R. Horejsi may be deemed to have indirect beneficial ownership of the Shares directly beneficially owned by the trusts. However, Mr. Horejsi disclaims such beneficial ownership of the shares directly beneficially held by the Trust and 2019 Trust.

Horejsi Trust No. 2, Stewart West Indies Trust, Susan L. Ciciora Trust and Susan L. Ciciora own an aggregate of 45,384,254 shares of the Company.
