Between 4:00 p.m. Eastern on Friday, October 30, and the end of the evening, Nasdaq and NYSE operating companies filed 106 current reports on Form 8-K. Thirty-two of them carried the items that tend to matter most: officer departures, auditor changes, listing notices, layoffs and terminated agreements. We read all 32. These are the ones worth knowing about before Monday's open.

The 8-K states there were no disagreements with Deloitte and no reportable events in 2024, 2025 or the 2026 interim period, and Deloitte's letter is filed as Exhibit 16.1. 8-K
Restatements
No company in the evening's filings reported that earlier financial statements can no longer be relied on.
Listing notices
Eight companies disclosed a listing problem. Five got the Nasdaq $1 minimum bid price letter: four start the usual 180-day clock, and one is a delisting determination that skips the clock entirely.

Parabolic Technologies, 16:07 ET. Nasdaq's letter of October 27 says the stock closed below $1.00 for 30 business days from September 15 through October 26. Normally that starts a 180-day compliance period. Here it doesn't: the company did a 1-for-10 reverse split on July 8, 2025, a 1-for-20 on May 8, 2026 and another 1-for-10 on October 27, 2026, a cumulative 1-for-2,000, and Nasdaq's rules give no compliance period to a company that has done a reverse split in the past year or splits adding up to 250-for-1 or more over two years. The staff therefore issued a delisting determination. The company can appeal to a Hearings Panel if the request and the $20,000 fee reach Nasdaq by 4:00 p.m. Eastern on November 3. 8-K
Annovis Bio (ANVS $1.13 +10.78%), 17:10 ET. The NYSE notice of October 29 says the company's 30-trading-day average market capitalization was about $48.4 million as of October 28, and its last reported stockholders' deficit, at June 30, was about $4.3 million. The company told the NYSE it will submit a plan within 45 days. 8-K
Accendra Health (ACH $0.25 +9.10%), 16:50 ET. The NYSE told the company on October 27 that it is below the same $50 million market cap and stockholders' equity standard. It has 45 days to submit a business plan showing how it would regain compliance within 18 months. 8-K
Cyngn (CYN $0.35 -5.49%), 17:20 ET. Audit committee chair Karen Macleod will not stand for re-election at the November 3 annual meeting, and her resignation takes effect when the polls close. That leaves a two-member audit committee, so Cyngn notified Nasdaq that it will fall short of the three-member requirement. The company says it intends to appoint a qualified independent director. 8-K
The four $1 letters to Bridger Aerospace (16:11 ET), Actuate Therapeutics (16:05 ET), Neumora Therapeutics (16:05 ET) and Alset (17:06 ET) all give the company until April 26, 2027 to close at $1.00 or more for ten consecutive business days.
Executive departures
Utz Brands (UTZ $14.27 -0.07%), 16:51 ET. Chief executive Howard Friedman told the company on October 28 that, in connection with Utz's return to being a private company and contingent on the deal closing, he will leave shortly after the closing. His departure is expected to be effective November 30, 2026. 8-K
Equity LifeStyle Properties, 16:29 ET. The board approved what the filing calls a multi-year succession plan. Marguerite Nader leaves the CEO role and her seat as Vice Chairman at the end of 2026 and stays on the board as Executive Vice Chair. Patrick Waite, President since April 2025 and Chief Operating Officer since January 2015, becomes President and CEO on January 1, 2027, and Chief Legal Officer David Eldersveld adds the Chief Operating Officer title. 8-K
System1 (SST $1.70 -3.95%), 16:03 ET. President and Chief Operating Officer Charles Ursini resigned, effective at the close of business on October 30. He stays on the board and will act as a strategic advisor to management. 8-K
Tempest Therapeutics (TPST $0.50 -7.07%), 16:05 ET. Chief Financial Officer Constance Ames resigned effective immediately on October 26, for personal considerations unrelated to the company, according to the filing. The board appointed Stephanie Horn-Warnock as CFO the same day. 8-K
Verra Mobility (VRRM $2.80 -16.17%), 16:05 ET. The board named Matthew Kvarda, a managing director at Alvarez & Marsal, interim CFO from November 5. He succeeds Craig Conti, whose resignation as CFO on November 4 was disclosed earlier, while Spencer Stuart searches for a permanent CFO. 8-K
PodcastOne (PODC $2.39 -7.72%) and LiveOne (LVO $2.94 -6.96%), both 17:00 ET. The two companies share an interim CFO, Craig Christensen, and both filed the same news: he is leaving on October 30 to pursue another professional opportunity, and each company has started a search for a successor. PodcastOne 8-K, LiveOne 8-K
LendingTree (TREE $27.94 -0.32%), 16:05 ET. General Counsel Heather Novitsky leaves the role on December 31, stays on as a non-executive employee for transition services, and her employment ends without cause on March 12, 2027, with Tier A severance under the executive severance plan. 8-K

The same filing grants chief executive Vicente Reynal an additional performance-based equity award and an amended employment agreement. 8-K

How we pick these
We list every 8-K that the SEC accepted from a Nasdaq- or NYSE-listed operating company on Friday from 4:00 p.m. Eastern, then keep those reporting a terminated material agreement, a bankruptcy, layoffs or restructuring, an impairment, a listing notice, an auditor change, a non-reliance restatement, a change in control, or an officer departure. Routine pay grants and director appointments are left out unless they say something about the company's direction. Times are the SEC's acceptance times in Eastern time. Whether companies really time bad news for Friday night is a separate question, and we tested it in Do Companies Really Bury Bad News on Friday Night?
