On December 11, 2025, on recommendation of the Compensation Committee of the Board of the Issuer, the Board approved the issuance of 45,872 restricted stock units of common stock of the Issuer, under its equity incentive plan. The RSU shares will fully vest on December 11, 2026. The vesting of shares is subject to Dr. Wilson's continued service with the Company.

The number of shares of common stock beneficially owned following the reported transactions includes Dr. Wilson's ownership of 2,000,000 shares of common stock.
