The restricted stock units were granted on October 1, 2019 with a fair value at the grant date of $15.09 per share. Mr. Walker was provided this one-time grant by the Board of Directors in recognition of his role as a founder of Cornerstone Healthcare, Inc., our home health and hospice subsidiary, which prior to the Spin-Off was a subsidiary of Ensign. 2019 total reflects compensation for the period after the Spin-Off earned from October 1, 2019, through December 31, 2019. Prior to October 1, 2019, the Company was a wholly owned subsidiary of Ensign, our former parent company. Prior to the Spin-Off, the cash compensation of our NEOs was determined by Ensign’s executive management or its board of directors and the equity compensation of our NEOs was determined by Ensign’s compensation committee at the recommendation of Ensign’s executive management. Accordingly, the compensation paid to our NEOs for fiscal year 2019 is not necessarily indicative of how we will compensate our named executive officers in future years.
