Debt profiles

Company debt profiles are built as a filing sequence. The latest processed annual report (10-K, 20-F, 40-F, ESEF, or supported mainland and Hong Kong annual reports, including amendments) establishes the annual baseline; later interim reports and relevant event filings update the same issuer-scoped agreements and instruments by their actual dates. Instrument IDs stay stable across those updates, so a note or facility can be followed without treating each filing row as new debt.

Company totals are the amounts the issuer reports. They are never manufactured by summing an incomplete set of identified instruments. Coverage dates, complete eligible filing and covenant-artifact backlog counts, unresolved exact-match observations, unreadable or missing legal-artifact counts, and current-version failures remain visible so an empty or partial profile cannot be mistaken for proof that the company has no debt or no covenants. Pending failures await retry; parked failures remain unresolved after the bounded retry ladder. The completed-through date stops before any untouched or failed eligible filing inside the processed window, while the latest terminal filing date is reported separately.

A registered investment fund (an issuer that owns an SEC fund series or is a fund series' registrant) reports portfolio holdings rather than a company balance sheet, so it is outside debt-profile coverage. Both tools state this in the coverage line; any published rows still appear, and an empty fund profile does not establish that the fund has no borrowings.

Retained mainland and Hong Kong annual/interim PDFs can also supply identified instruments and reported totals after independent verification. Capturing a report or displaying its statement balances does not establish completed instrument or covenant coverage. Replaced report evidence is excluded from current publication; historical original documents remain available.

Successful PDF text conversion may still omit scanned pages. Native PDF readings remain incomplete, including empty results; verified facts can publish, but these readings never establish completed coverage or absence of debt. Instruments affected by withdrawn report evidence are withheld until rebuilt from surviving approved sources.

GetDebtProfile

Returns the company's issuer-reported debt-total history and a current-state summary of each identified note, loan, and revolving credit facility. The coverage line gives the filed-date window examined, the debt as-of date of the latest annual baseline, and the count of observations excluded because they could not be matched exactly to a durable instrument. Reported totals link to their original reports; every instrument summary carries its stable ID and linked-row counts. A linked-row count is the counted number of rows; a trailing + means a defensive read boundary bounded the count rather than reaching it. Use GetDebtInstrument to page governing documents, filing history, covenant terms, exact evidence, and direct source-document links.

Reported debt balances show the newest available statement date with each category, currency, and original filing link. Standard tagged filings and supported mainland and Hong Kong consolidated report tables supply these balances; structured facts win an exact-date tie. Categories can overlap and are not added together. These balances do not imply completed instrument or covenant extraction; coverage remains separate. The bounded snapshot contains at most 40 rows and is withheld if it cannot be completely selected. A snapshot exceeding 12,000 rendered characters is omitted from the tool response with directions to the complete reportedBalances REST field or stock debt page.

Verified covenants are current-only and include the exact provision reference, source wording, reported metric and threshold, testing frequency, affirmative springing trigger, exceptions, required defined terms, effective date, superseded provision, source link, and quote when available. Governing article introductions appear before their clauses and remain available in exact evidence. Read the passages together: a comparison inside a prohibition must not become a standalone test or an inferred compliance result. Amendments close only the exact prior agreement-and-instrument provision they expressly supersede; ambiguous active versions are withheld. A missing springing statement is unknown, never rendered as a negative claim.

Coverage also identifies agreement documents with unverified sections. Independently verified covenant terms remain available, but other restrictions or tests may apply; a partial reading never establishes complete agreement coverage or the absence of covenants.

Parameters: ticker (required), maxResults (maximum instruments per page; default and max 25), offset (zero-based instrument offset; default 0, max 100000), maxReportedTotals (maximum totals per page; default and max 10), reportedTotalOffset (zero-based total offset; default 0), and maxEvidenceCharacters (default 0, max 12,000) / evidenceOffset (default 0) for lossless character paging of exact evidence attached to the selected reported-total page.

GetDebtInstrument

Returns one durable instrument from the profile, including its current reported balance and as-of date, paged linked filing-observation history, currently operative verified covenant terms, and governing, amending, refinancing, or retirement documents. The response repeats the profile's safe completed-through date and pending or parked filing/covenant failure warnings. Filing observations show both the exact source artifact and its parent filing when they differ; covenants preserve exact source quotes and direct source links.

Parameters: ticker (required), instrumentId (required UUID returned by GetDebtProfile), maxHistory / historyOffset, maxCovenants / covenantOffset, maxDocuments / documentOffset, and maxEvidenceCharacters / evidenceOffset. Each child page defaults to and allows at most 10 rows. Detail rows stay compact; set maxEvidenceCharacters (default 0) up to 12,000 and advance evidenceOffset to read the selected rows' exact evidence losslessly. Continuation instructions name the next supported offset and state the counted total when one was counted, saying only that more results exist when a defensive read boundary bounded it; every response also has a 48,000-character safety ceiling.
